PedersoliGattai with Eni and Plenitude in the increase of the interest held by EIP in the share capital of Plenitude

Plenitude executed a new agreement with Eni and Energy Infrastructure Partners (EIP), a Swiss fund specialising in megatrend in the energy industry, which increased its interest in Plenitude now holding 10% of share capital.

The increase of the interest held by EIP shall occur through a share capital increase of approximately EUR 209 million, with an overall investment of approximately EUR 800 million, considering that EUR 588 million were paid last March.

The transaction confirms an equity value of approximately EUR 8 billion, as a result of the transaction and an enterprise value exceeding EUR 10 billion.

Completion of the transaction is subject to the fulfilment of certain conditions precedent.

PedersoliGattai advised Eni and Plenitude in relation to all legal aspects of the transaction, with a team led by Bruno Gattai (managing partner), with Giovan Battista Santangelo and Damiano Battaglia (partners), including Jacopo Ceccherini (counsel) and Alice Paini, Giacomo Taidelli and Giuseppe Accogli (associates).
