Corporate M&A
Over the years, the team has been involved in significant and sophisticated extraordinary transactions, including mergers, acquisitions, joint ventures, strategic financial and industrial alliances, spin-offs, and corporate group restructurings. These transactions have included public takeover and exchange offers on regulated markets alongside leading national and international financial and industrial operators for listed and private companies.
The team operates closely with other practices within the Firm, providing clients with comprehensive assistance and addressing issues ranging from antitrust and regulatory matters to labour law, financing, tax, and pre-contentious and contentious issues.
Thanks to a solid international background and a deep understanding of the Italian market and entrepreneurship, the Firm effectively balances the needs of international investors with domestic logic, structuring M&A transactions in line with international best practices and, simultaneously, within the national context.
The Firm has exceptional experience in M&A operations in the banking and financial services sector, including M&A transactions in crisis and insolvency situations. It has handled past decades’ most essential and sophisticated, often systemic, transactions.
Additionally, the Firm has consolidated experience in the Private Equity sector, having been involved in and constantly following the most significant transactions in Italy. The team assists Italian and foreign funds of primary standing and entrepreneurs and critical key managers during the investment and exit phases.
The M&A team is regularly called upon to assist family businesses in their development and growth through strategic integrations and adopting governance models that best suit specific situations and needs, including considerations for generational transitions or market openings. This is supported by the experience gained in providing legal and regulatory assistance, including ongoing support, to publicly traded companies, their management and control bodies, committees, and shareholders regarding primary and secondary corporate regulations, information obligations, corporate governance, and compliance.
