PedersoliGattai with Della Valle Family in Tod’s delisting
Tod’s delisting from the Euronext Milan market of Borsa Italiana has become effective on 7 June 2024.
Tod’s thus leaves the stock exchange after more than 20 years following the successful total voluntary takeover bid by Crown Bidco, corporate vehicle of global private equity fund L Catterton, in execution of the agreements with Della Valle Family entered into and announced to the market in the evening of 10 February 2024.
The agreements provide that, following the delisting (following the execution of the so-called joint procedure and suspension of the stock for the sessions of 5 and 6 June) Della Valle Family, Crown Bidco and Delphine enter into a shareholders’ agreement aimed at governing their respective rights and obligations as Tod’s shareholders, whereby both L Catterton and Delphine shall be granted representation in Tod’s board of directors and certain further governance and exit rights.
Tod’s group – with its brands Tod’s, Roger Vivier, Hogan and Fay – represents Italian-made excellence and an established player in the footwear, leather goods and clothing market, with a significant presence in all international markets.
