PedersoliGattai with Giondi family and Club del Sole in the capital increase for Club del Sole

PedersoliGattai assisted the Giondi family and Club del Sole in the capital increase for Club del Sole, in collaboration with the Club del Sole and the Giondi family.

NB Aurora SA SICAF-RAIF, a permanent capital vehicle listed on the professional segment Euronext MIV of Borsa Italiana, has entered into a binding agreement to sell its entire shareholding in CDS Holding SpA to TEC Holiday—a vehicle incorporated as part of the club deal promoted by The Equity Club and sponsored by Mediobanca. This shareholding, held through the controlled vehicle First Club Srl, represents approximately 40% of Club del Sole’s share capital.

The transaction involves NB Aurora reinvesting in Club del Sole alongside other funds managed by the controlling entity Neuberger Berman and certain other co-investors. NB Aurora and TEC Holiday will also subscribe to a share capital increase to support the company’s further growth.

Founded by the Giondi family in 1974, Club del Sole, a leader in Italy’s camping-village sector, will retain its majority shareholder status and continue to lead the industrial project.

The transaction is expected to close in early May 2024, subject to the fulfillment of conditions precedent outlined in the binding agreements.
