Financial Regulation

The Financial Regulation team assists with all types of supervised entities, whether listed or not, both Italian and foreign, such as banks, investment Firms, asset management organizations, other collective investment undertakings, insurance companies, payment and electronic money institutions, credit intermediaries, crowdfunding platforms, fintech companies, and other financial intermediaries.

The team assists supervised entities with all legal and regulatory aspects concerning the establishment, ownership structures, governance, regulatory supervision, operations, and relationships with competent Authorities or Supervisory Bodies, clients, and the market.

Our professionals combine European and Italian legislation knowledge to find innovative and tailored solutions for individual clients.
We have gained considerable experience in the authorization procedures for establishing new supervised entities, capital operations, and changes in ownership structures, including cases involving participations held by international private equity funds. Additionally, we specialize in regulatory aspects related to market abuse and anti-money laundering, as well as the defense of supervised entities and enforcement procedures initiated by Italian or foreign Supervisory Authorities.

Furthermore, the team has recognized and in-depth expertise in structuring regulated investment vehicles (such as funds, investment companies, and investment Firms), primarily dedicated to alternative asset classes and all significant aspects of banking and insurance regulation and compliance.

We collaborate with Private Equity, Corporate M&A, Banking and Finance, Structured Finance, Tax, Intellectual Property, and Technology Law teams in cases involving supervised entities and, more generally, in projects potentially relevant to regulated activities. The team actively provides legal advice in the fintech sector, including crypto-assets and DLT.
